deNADA'S TERMS AND CONDITIONS OF USE

These Terms and Conditions are a legal and binding agreement between You (User) and (deNADA Copyright Saurabh Agrawal). These Terms and Conditions state the grounds on which the User can use and/ or register with the mobile application (for registrations) and the denada.social website (Website/App/Us/We/Our/Site). Terms and Conditions are updated from time to time at Our sole discretion, and the most updated version is available on the Site at all times, along with the date of last revision. Continued use by the User of the Site after any revision indicates the User's acceptance of the updated/ revised Terms and Conditions. By accessing the Site and using the Services (as defined below) as offered in this Site, You become the User and bound by the terms and conditions of this agreement and other policies of deNADA for as long as You continue to use/visit the Site or Services. If you do not agree to be bound by these Terms and Conditions, do not use or register with the Site or for the Services. Your use, registration or participation in any manner with the Site or the Services being provided confirms agreement to the Terms and Conditions and any applicable policies.

App Overview

(a)

deNADA provides dating services consisting of recommendations and suggestions based on the Users' requirements (Services). deNADA may offer additional services or revise any of the Services at its discretion at any future date, in which case these Terms and Conditions shall apply to all additional services or revised Services. All rights to cease offering any of the Services on the Site are reserved with deNADA.

(b)

The App is an online dating and social media application with a vision for everyone to connect with friends and find/discover new folks based on their preferene. The Users on the App will provide their preferences to look for someone compatible, and in any chance of a mutual feeling, the Users can get into a conversation/meet before deciding.

(b)

The functionality of the App works when Users register and create their profiles by entering their personal and professional details and uploading videos. The Users can send connection requests to other profiles and video call/meet in person with them if accepted. deNADA will also undertake criminal verification for the Users to ensure their safety on the App. If the verification measures are completed, then the User profile is verified. The Users will not be able to use the Services in the event any verification checks fail for them. The Users will not be allowed to edit specific information they provide on the App, for example, the name, date of birth and contact details, other than as provided in the Privacy Policy

(b)

Users can also register for offline events (Events) organized and notified by deNADA based on their location, and they can attend the events to interact with other Users. Such Events are conducted at restaurants or other similar places. The Events: (i) are age-based; (ii) maintain gender ratio; (iii) have limited seats on a first-come, first-seat basis. deNADA, its officers, employees and affiliates shall not in any way be liable for the services and goods served by third parties on whose premises the events are being held.

Account Eligibility

(a)

You are not authorised to create an account or use the Services unless all of the following are true, and by using our Services, you represent and warrant that:

•

You are at least 18 years old;

•

You are legally qualified to enter a binding contract with deNADA;

•

You are not prohibited by law from using Our Services;

•

You have not committed, been convicted of, or pled no contest to a felony or indictable offence (or crime of similar severity), a sex crime, or any crime involving violence or a threat of violence;

•

You are not a sex offender as per the requirements of any applicable state or local laws.

(b)

By requesting, registering, or using the Services, the User represents and warrants that the User is not married. In the event the User is divorced or going through separation, the User will be allowed to use the Services, provided that the User selects their preference accordingly.

(c)

If at any time You cease to meet these requirements, all authorisation to access Our Services or systems is automatically revoked. We retain the right to remove Your access to Our Services without warning.

(d)

By agreeing to the Terms and Conditions, the User authorises deNADA (and its third-party authentication agency) to conduct verification checks, including criminal verification checks on the User. The verification process is critical for receiving the complete set of Services offered at the Site by deNADA. The User will be appropriately notified and requested to provide the required documents and fill out the necessary consent forms to initiate and complete the verification process.

(e)

The User agrees and confirms that non-abidance of verification requests made by deNADA will render the registered account at the Site terminable at deNADA's instance without any recourse whatsoever. deNADA is authorised and justified in taking any action necessary to resolve such a refusal by the User.

(f)

To register for the Services, the User has to undertake a personality assessment prepared by deNADA specialists/ experts in the panel. The User is expected to fill in/ respond to the questions in the personality assessment, for example, preferences about drinking/smoking habits, social interests, dietary preferences, income details, details about any medical disability, and political and religious identity. This will be helpful for deNADA to make recommendations of the closest match in personality type and probable compatibility with the User.

User's Responsibilities

(a)

You agree to:

•

Comply with these Terms and Conditions, and check this Site from time to time to ensure that You are aware of any changes;

•

Comply with all applicable laws, including, without limitation, privacy laws, intellectual property laws, anti-spam laws, and regulatory requirements;

•

Use the latest version of the Website and/or App;

•

Be respectful when communicating with any of our customer care representatives or other employees;

•

Maintain a strong password and take reasonable measures to protect the security of login information;

•

Present yourself respectfully and authentically by clearly presenting your face throughout the video rapid fire.

(b)

You agree that You will not:

•

Misrepresent Your identity, age, current or previous positions, qualifications, or affiliations with a person or entity, marital status or income;

•

Use the Services in a way that damages the Services or prevents their use by other Users;

•

Use Our Services in a way to interfere with, disrupt or negatively affect the platform, the servers, or Our Services' networks;

•

Use Our Services for any harmful, illegal, or nefarious purpose;

•

Harass, bully, stalk, intimidate, assault, defame, harm or otherwise mistreat any person;

•

Post or share Prohibited Content (please see Paragraph 3(c) below);

•

Solicit passwords for any purpose, or personal identifiable information for commercial or unlawful purposes from other Users or disseminate another person's personal information without his/her/their permission;

•

Solicit money or other items of value from another User, whether as a gift, loan, or form of compensation;

•

Use another User's account;

•

Use Our Services in relation to fraud, a pyramid scheme, or other similar practices;

•

Disclose private or proprietary information that You do not have the right to disclose;

•

Copy, modify, transmit, distribute, or create any derivative works from Our Content or any copyrighted material, images, trademarks, trade names, service marks, or other intellectual property, content or proprietary information accessible through Our Services;

•

Express or imply that deNADA endorses any statements You make;

•

Upload viruses or other malicious code or otherwise compromise the security of Our Services;

•

Modify, adapt, sublicense, translate, sell, reverse engineer, decipher, decompile or otherwise disassemble any portion of Our Services or cause others to do so;

•

Use, access, or publish the deNADA application programming interface without Our written consent;

•

Encourage, promote, or agree to engage in any activity that violates these Terms and Conditions; or

•

Create a new account after deNADA suspends or terminates your account.

(c)

Prohibited Content: deNADA prohibits uploading or sharing the following content that violates these Terms and Conditions (Prohibited Content). The uploading or sharing of such Prohibited Content may result in your account's immediate suspension or termination. deNADA prohibits uploading or sharing content that:

•

Could reasonably be deemed to be offensive or to harass, upset, embarrass or alarm any other person;

•

Is obscene, pornographic, violent or otherwise may offend human dignity or contains nudity;

•

Is abusive, insulting or threatening, discriminatory or that promotes or encourages racism, sexism, hatred or bigotry;

•

Encourages or facilitates any illegal activity including, without limitation, terrorism, inciting racial hatred or the submission of which in itself constitutes committing a criminal offence;

•

Is defamatory, libellous, or untrue;

•

Relates to commercial activities (including, without limitation, sales, competitions, promotions, and advertising, solicitation for services, 'sugar daddy' or 'sugar baby' relationships, links to other websites or premium line telephone numbers);

•

Involves the transmission of 'junk mail or 'spam' mail;

•

Contains any spyware, adware, viruses, corrupt files, worm programs or other malicious code designed to interrupt, damage or limit the functionality of or disrupt any software, hardware, telecommunications, networks, servers or other equipment, trojan horse or any other material designed to damage, interfere with, wrongly intercept or expropriate any data or personal information whether from deNADA or otherwise;

•

Infringes upon any third party's rights (including, without limitation, intellectual property rights and privacy rights);

•

Includes the image or likeness of another person without that person's consent (or, in the case of a minor, the minor's parent or guardian), or is an image or likeness of a minor unaccompanied by the minor's parent or guardian;

•

Is inconsistent with the intended use of the Services.

(d)

Guidelines for User Video Content: For registering on the App and using the Services, the User will create a video by answering questions/recording themselves in a manner as required by deNADA. The Users, while recording the video, shall not disclose private or proprietary information that they do not have the right to disclose. For the video content created by the User on the App, the User shall ensure that they do not engage in the following:

•

Vulgar Language

•

Use of sexually explicit language or narratives

•

Use of excessive profanity in the content

•

Use of heavy profanity or sexually suggestive terms in the content's title, thumbnail, or associated metadata

•

Use of excessive sexual sounds

•

Nudity and Sexual Content

•

Nudity or partial nudity that's meant for sexual gratification

•

Pornography, the depiction of sexual acts, or fetishes that are meant for sexual gratification

•

Using sex toys to give viewers sexual gratification

•

Wardrobe accidents or nude photo leaks

•

Any sexual content involving minors

•

Child Safety

•

Sexualization of minors: Sexually explicit content featuring minors and content that sexually exploits minors, including minor nudity, posted with comedic intent. We can report content containing child sexual abuse imagery to Aarambh India | India's 1st Online Portal against Child Sexual Abuse & Exploitation.

•

Impersonation

•

Content intended to look like someone else is posting it.

•

Using someone else's real name, user name, image, brand, logo, or other personal information to trick people into believing you are that person.

•

Fake Engagement / Illegal Activities / Graphic Violence / Inappropriate Gestures

•

Links to or promotes third-party services

•

Showing or talking about alcohol, controlled narcotics and other drugs, explosives/firearms, endangered species or parts of endangered species, nicotine, including vaping products, online gambling, pharmaceuticals without a prescription, sex or escort services, unlicensed medical services, human trafficking, inappropriate gestures like middle finger, self-harm

•

Hate Speech

•

Encourage violence against individuals or groups based on their protected group status.

•

Incite hatred against individuals or groups based on their protected group status.

•

Content that promotes violence or hatred against individuals or groups based on any of the following attributes: age, caste, disability, ethnicity, gender identity and expression, nationality, race, immigration status, religion, sex/gender, sexual orientation, victims of a major violent event and their kin, veteran status

•

Elections / Political

•

Any Political / Elections related content

Use of Site and Services

(a)

As a User of the Site or a User registered to use any of the Services, the User agrees to the following:

•

Once an account is created with the Site, it is for the User's personal use only. The User may not authorize others to use the account. The account with the Site is non-assignable and non-transferable to any third party, whether a person or an entity. The User acknowledges and confirms that deNADA is not responsible for third-party access to the User's account that results from theft, hacking or misappropriation of usernames and passwords.

•

Information Submitted: The User is solely responsible for and assumes all liability regarding (i) the information and content provided at the Site for the Service; (ii) the information and content the User posts, transmits, publishes, shares or otherwise makes available (hereinafter referred to as Content) to deNADA for the Services; (iii) User interactions with other Users through the Services; and (iv) the information provided in the personality assessment and the User video content. The Site shares User information with the specific User's matches. The User is solely responsible for the Content. The User should not share anything that he/she does not want others to see or that would violate these Terms and Conditions or that may expose You or deNADA to legal liability.

•

You agree to indemnify, defend, release, and hold deNADA harmless from any claims made in connection with the Content. You represent and warrant to deNADA that the information You provide to deNADA or any other User is accurate, including any information submitted through other third-party sources (if applicable), and that You will update your account information as necessary to ensure its accuracy.

•

The content included in your individual profile should be relevant to your intended use of our services. If You choose to reveal any personal information about yourself to other Users, You do so at your own risk. deNADA encourages you to be cautious when disclosing any personal information online.

•

Your individual profile will be visible to others worldwide, so be sure that You are comfortable sharing Your Content before you post. You acknowledge and agree that other Users may view Your Content, and notwithstanding these Terms and Conditions, other Users may share Your Content with third parties. By uploading Your Content, you represent and warrant to deNADA that You have all necessary rights and licenses to do so and automatically grant us a license to use Your Content.

•

You understand and agree that deNADA may monitor or review Your Content. deNADA has the right to remove, delete, edit, limit, block, or prevent access to any of Your Content at any time in its sole discretion. Furthermore, You understand and agree that deNADA is under no obligation to display or review Your Content.

•

Risk Assumption and Precautions: All risks when using the Services and the Site, including but not limited to all of the risks associated with any online or offline interactions with others, including meeting other matches, remain with the User. The User is expected to use his/her/their best judgement in experiencing any of the benefits/ requirements of the Services. The User agrees to take all necessary precautions when meeting individuals through the Site and under the Services. The User shall, at all times, be responsible for all outcomes of meeting/ sharing information and/ or being in a short or long-term relationship through the Services/ Site. It is accepted and understood by the User that, at all times, the User shall use his/her/their judgement and discretion in receiving the Services through the Site or proceeding with a match and/ or deciding to be in a relationship with a match.

•

Though deNADA strives to encourage a respectful member experience, deNADA is not responsible for the conduct of any Users online or offline. You agree to use caution in all interactions with other Users, particularly if You decide to communicate off the Services or meet in person.

•

No Guarantees: deNADA, through the Site and its specific systems, attempts to provide matches on a best-effort basis. However, every User may not find ideal matches through the Services. Furthermore, deNADA does not make any representations or guarantees regarding the number or frequency of matches through the Service or the ability, desire or criteria of such proposed matches to communicate with the User. The User fully understands and accepts that deNADA makes no guarantees, either express or implied, direct or indirect, regarding the User's ultimate compatibility with matches/ individuals the User meets through the Service or the conduct of such individuals.

•

No Tolerance for Objectionable Content or Abusive Users: Abuse, trolling, and inappropriate and objectionable content such as threats, nudity, obscenity, etc., are immediate violations of deNADA's Terms and Conditions, deNADA will take strict and relevant action against such violation.

•

Content Removal: deNADA reserves the right, but has no obligation, to monitor the information or material User submits to the Site or the Content in the public areas of the Services or linked to other public sites. deNADA at all times reserves all rights to remove any such information or material that in its sole opinion violates, or may violate, any applicable law or these Terms and Conditions or the integrity of any other User or upon the request/ report of any third party. deNADA reserves the right to remove matches previously delivered to the User, in its sole discretion, in order to maintain the quality of experience and authenticity of the Site without any recourse from the User. Juelo will also endeavour to provide all possible assistance to any statutory investigation agency to tackle fraudulent Users of the App and/or any other violation of applicable laws upon being specifically instructed by the authorities to do so.

(b)

You are solely responsible for Your interactions with other Users. You understand that deNADA does not inquire into the backgrounds of its Users or attempt to verify their statements. deNADA makes no representations or warranties regarding the conduct of any Users or their compatibility with any current or future Users.

(c)

In order to provide a safe environment on the App, we also provide a 'SOS' feature to the Users, wherein the Users have an option to send a 'SOS' message via the App to their selected contacts in case they do not feel safe while meeting other Users through the App. The Users hereby agree and acknowledge that they have procured necessary consents from their respective contacts for sharing such 'SOS' message via the App and deNADA will not claim any liability in this regard.

(d)

You agree to, and hereby do, release deNADA and its successors from any claims, demands, losses, damages, rights, and actions of any kind, including personal injuries, death and property damage, that either directly or indirectly arise from your interactions with or conduct of other Users of the App/Site.

(e)

deNADA engages with third-party experts to conduct background and criminal verification checks and does not take any guarantees for the same other than as offered, represented, warranted, and undertaken by such third-party experts providing these services to deNADA. By accepting the Terms and Conditions and having a registered account with the App, the User has agreed to get the verification process completed. The User agrees and accepts that if the User refuses/ fails to get the verification checks completed, then deNADA at its sole discretion, without any recourse from the User, has the right to terminate the account.

Payments, Subscriptions and Cancellations of deNADA's Membership Plans

(a)

You may purchase and subscribe to the various membership plans on the App, by paying with your credit card, debit card, unified payment instruments (UPI), net banking and other wallet options, and the same will be processed by a third-party processor. Such third-party processors may additionally seek information from You to process the payment for Your purchase and additionally may charge You the charges that may be applicable. You shall be governed under the concerned third-party processor's terms and conditions and other policies for the purpose of all payment-related aspects.

(b)

All purchases for the membership plans are pre-payments that will give You access to deNADA's Services basis the time period for the respective plans. All prices charged for the membership plans and the Events are subject to applicable taxes.

(c)

deNADA may change the prices for the various membership plans, from time to time. deNADA will communicate such changes to the User on the registered details of the User.

(d)

deNADA may run promotional offers from time to time of discounts, cashbacks, membership extensions etc. to eligible Users. Users who have completed the onboarding journey successfully and satisfy eligibility criteria as set for by deNADA or its collaboration partners for specific promotional campaigns shall be termed as 'Eligible Users'. The promotional offers will run for such duration as may be decided by deNADA, at its sole discretion and may be prematurely revoked without prior notice.

(e)

The pricing is available for different categories of deNADA's plan basis the age of the Users. The various plans/categories of deNADA, along with their respective pricing are as follows:

(f)

For Events, deNADA will act as an agent of the User. In cases where applicable, deNADA will act as the 'pure agent' of the User and value of supply will be determined in terms of Rule 33 of the Central Goods and Service Tax (CGST) Rules 2017. In such cases, User grants authorization to deNADA to make the payment to the third party on their behalf. deNADA agrees that the expenses incurred by them will be indicated separately in the invoice raised on the User or will raise a separate document for reimbursement of expenses made on behalf of the User. deNADA: (i) shall not hold any title to the goods or services, or both procured or supplied while acting as a pure agent of the User; (ii) will not use such goods or services or both for own interest; (iii) will receive only the actual amount incurred (without any mark-up) for procuring any goods or services on behalf of the User while acting as its pure agent; and (iv) the supplies procured by deNADA from the third party (restaurants) as a pure agent of the User of supply are in addition to the services it supplies on its own account.

(g)

Cancellations for Events: deNADA may cancel the event in case of any events amounting to act of god (tsunami, earthquake, fire, cyclone etc.,), natural calamities, imposition of curfew pursuant to applicable laws, or such similar circumstances, or in the event where the minimum members required for the Events cancel before at least 24 hours of the Events. All Users participating in such Events will be refunded their monies back in 7 working days, other than the Users who have cancelled. The Users who signed up and paid for the Event may cancel before 24 hours from the time of the event. If there are other Users who are on the waitlist for that particular Event, the User who have cancelled will get a refund on the successful entry of another User in the Event; in case there is no one on the waitlist, the User will not get any refund. The waitlist will be considered of the same gender as that of the cancelled User.

Push Notifications

(a)

We may provide you with emails, text messages, push notifications, alerts, and other messages related to the app and/or services, such as enhancements, offers, products, events, and promotions. After downloading the App, You will be asked to accept or deny push notifications/alerts. If you deny, you will not receive any push notifications/alerts. If you accept, push notifications/alerts will be automatically sent to You. With respect to other types of messaging or communications, such as emails, text messages, etc.

Disclaimer

(a)

THIS SECTION WILL APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. deNADA PROVIDES THE SERVICES ON AN “AS IS” AND “AS AVAILABLE” AND “BEST EFFORTS” BASIS AND GRANTS NO WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, DIRECT, INDIRECT STATUTORY OR OTHERWISE WITH RESPECT TO THE SERVICES OR THE RESULT OF THE SERVICES OR THE SITE (INCLUDING ALL INFORMATION CONTAINED THEREIN), INCLUDING ANY IMPLIED WARRANTIES OF CORRECTNESS, VALIDITY, ACCURACY APPRORPRIATENESS, FITNESS, COMPATIBILITY FOR A PARTICULAR PURPOSE OR OUTCOME OR NON-INFRINGEMENT. deNADA DOES NOT WARRANT THAT THE USE OF THE SERVICES WILL BE SECURE, UNINTERRUPTED, ALWAYS AVAILABLE, ERROR-FREE OR WILL MEET THE USER'S REQUIREMENTS OR THAT ANY DEFECTS IN THE SERVICES WILL BE CORRECTED OR RESULT IN THE DESIRED RESULTS. NOR DOES IT REPRESENT OR WARRANT THAT ANY MATCH RESULTING IN MARRIAGE IS OF THE HIGHEST COMPATIBILITY AND SHALL NEVER RESULT IN DIVORCE OR SEPARATION. deNADA DISCLAIMS LIABILITY FOR, AND NO WARRANTY IS MADE WITH RESPECT TO, THE CONNECTIVITY AND AVAILABILITY OF THE SERVICES AT ALL TIMES AND THE RESULTS OF THE USE OF THE SERVICES. deNADA DISCLAIMS LIABILITY FOR THE OUTCOME OF THE VERIFICATION CHECKS FOR PARTICUALR USER EXPECTATIONS OR ASPIRATIONS AND VERIFICATION OF FACTS AND INFORMATION PROVIDED BY THE USER FOR SELF VERIFICATION/ VERIFICATION CHECKS. ANY THIRD PARTY ENTITY OR CORPORATE RECOMMENDING THESE SERVICES TO ANY USER WILL NOT BE LIABLE FOR ANY SERVICES OR RESULTS THEREOF PROVIDED TO THE USER. deNADA NOR ANY THIRD PARTY RECOMMENDING ENTITY WARRANTS ANYTHING ABOUT THE USAGE, RESULTS, OUTCOMES, PERFORMANCE OF THE SERVICES, EITHER DIRECTLY OR INDIRECTLY AT ANY POINT IN TIME. ALL RISKS OF RECEIVING THE SERVICES IS TO THE ACCOUNT OF THE USER WHO IS IN COMPLETE AWARENESS AND WILLINGNESS WITHOUT ANY FORCE SUSBSCRIBING TO THE SERVICES.

Limitation Of Liability

(a)

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL deNADA BE LIABLE FOR ANY INCIDENTAL, SPECIAL, CONSEQUENTIAL OR INDIRECT DAMAGES ARISING OUT OF OR RELATING TO THE USE OR INABILITY TO USE THE SERVICES, RESULT OF USING THE SERVICES INCLUDING, WITHOUT LIMITATION, DAMAGES FOR RECOMMENDATION OF THE SITE, FAILED MARRIAGE ACHIVED THROUGH THE SITE, OUTCOME OF VERIFICATION CHECKS, LOSS OR CORRUPTION OF DATA OR PROGRAMS, SERVICE INTERRUPTIONS AND PROCUREMENT OF SUBSTITUTE SERVICES, EVEN IF deNADA KNOWS OR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UNDER NO CIRCUMSTANCES WILL deNADA BE LIABLE FOR ANY LIQUIDATED OR PUNITIVE DAMAGES. IF YOU BECOME DISSATISFIED IN ANY WAY WITH THE APP OR SITE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO STOP YOUR USE OF THE APP AND SITE.

(b)

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL deNADA BE LIABLE FOR ANY DAMAGES WHATSOEVER, WHETHER DIRECT, INDIRECT, GENERAL, SPECIAL, COMPENSATORY, CONSEQUENTIAL, AND/OR INCIDENTAL, LIQUIDATED, PUNITIVE ARISING OUT OF OR RELATING TO RECOMMENDATION OF THE SITE, THE CONDUCT OF USER OR ANYONE ELSE IN CONNECTION WITH THE USE OF THE SERVICES, INCLUDING WITHOUT LIMITATION, BODILY INJURY, EMOTIONAL DISTRESS, FINANCIAL LOSS AND/OR ANY OTHER DAMAGES RESULTING FROM COMMUNICATIONS OR MEETINGS WITH OTHER USERS OF THE SERVICES OR AS A RESULT OF USING THE SERVICES. THIS INCLUDES ANY CLAIMS, LOSSES OR DAMAGES ARISING FROM THE CONDUCT OF USERS WHO HAVE REGISTERED UNDER FALSE PRETENSES OR WHO ATTEMPT TO DEFRAUD OR HARM OTHER USERS OR FAILED MARRIAGES OR DIVORCE OF WEDDINGS CAUSED UNDER THE USE OF THE SERVICES.

(c)

YOU HEREBY WAIVE ANY AND ALL CLAIMS ARISING OUT OF YOUR USE OF THE APP OR SITE.

Indemnity

(a)

The User agrees to indemnify, defend and hold harmless deNADA, its affiliates, and each of their officers, directors, employees, agents and related third parties for any losses, costs, liabilities and expenses (including reasonable attorneys' fees) relating to or arising out of any third party claim that: (a) the User's use of or inability to use the Site or Services; (b) any User postings made by the User; (c) the User's violation of any terms of this Terms and Conditions or the User's violation of any rights of a third party; or (d) the User's violation of any applicable laws, rules or regulations; or (e) the User providing any false information to deNADA or conspiring and abetting with any third party for seemingly substantiating such false information to appear as true.

(b)

deNADA reserves the right, at its own cost, to assume the exclusive defence and control of any matter otherwise subject to indemnification by the User, the User will co-operate fully in asserting any available defences in such case.

General Provisions

(a)

Governing Law and Dispute Resolutions: These Terms and Conditions shall be governed by and interpreted in accordance with Indian laws, and the courts at New Delhi shall have exclusive jurisdiction in respect of these Terms and Conditions. Without prejudice to anything contained above, in the event of a dispute, difference or claim between deNADA and the User arising out of these Terms and Conditions or the construction or interpretation hereof or otherwise in relation hereto, the User and deNADA shall first endeavour to settle such difference, dispute, claim or question by mutual discussion within 15 days of notice received from one of the parties to the other, failing which the same shall be finally settled in accordance with the provisions of the Arbitration and Conciliation Act, 1996 as may be amended or re-enacted from time to time. The dispute shall be resolved by an arbitral tribunal composed of a sole arbitrator selected by the mutual agreement of both deNADA and the User. The arbitration proceedings shall be conducted in English. The arbitration proceedings shall be seated in New Delhi, and the award of the tribunal should be reasoned and shall be final.

(b)

Amendments: deNADA may, with notice to the User (or by hosting on the Website or in any other manner), at any time and subject to applicable law, change or delete any provision, add or change (including to increase or decrease) any charges, benefits, privileges, features, offers, or otherwise make any changes to these Terms and Conditions. The User will be responsible and will be deemed to have seen and accepted any such amendment by continued usage of the Site/App. deNADA reserves the right to amend any Terms and Conditions at any time.

Acceptance of Terms

(a)

By using our Services, You accept the Terms and Conditions of deNADA.

(b)

By using our Services, whether through a mobile device, mobile application, or computer, You agree to be bound by (i) these Terms and Conditions, which we may amend from time to time; (ii) Privacy Policy; and (iii) any additional terms upon registration. If You do not accept and agree to be bound by all of the terms, You are not entitled to use our Services.
